These Terms of Service ("Terms") govern your access to and use of MetricBooks ("MetricBooks", "Service", "we", "us", "our"). MetricBooks is operated by Datachar ("Provider"), the legal entity behind the Service. References to "MetricBooks" in these Terms refer to the Service offered by Datachar.
By creating an account, connecting QuickBooks Online, starting a trial, purchasing a subscription, or otherwise using the Service, you ("Customer", "you") agree to these Terms.
If you use MetricBooks on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
MetricBooks reads authorized QuickBooks Online data using the read-only com.intuit.quickbooks.accounting scope and transforms it into Power BI-ready reporting tables. The Service may include QuickBooks OAuth connection management, sync orchestration, normalized reporting views, read-only data warehouse access, Power BI templates, billing, audit logs, and workspace administration.
MetricBooks does not write data back to QuickBooks. MetricBooks is not a replacement for QuickBooks, Microsoft Power BI, accounting advice, tax advice, legal advice, or financial advice. Reports generated by MetricBooks are informational summaries of QuickBooks data and do not constitute accounting, tax, audit, legal, or financial advice.
You acknowledge that MetricBooks accesses QuickBooks Online through the official Intuit Developer APIs. Your authorization of MetricBooks through the QuickBooks OAuth flow is also subject to the terms and policies that Intuit applies to end users of third-party apps, including the Intuit App Center Services Agreement and the Intuit Global Privacy Statement.
You are solely responsible for your QuickBooks Online subscription, the accuracy and legality of the data in your connected QuickBooks companies, and your compliance with Intuit terms.

You can disconnect QuickBooks or delete your workspace from inside the application where those controls are available.
Data export. While your subscription is active, you can query and export your synced data through your read-only data warehouse credentials. Before terminating your workspace, you are responsible for exporting any data you wish to retain.
Disconnect. On disconnect of QuickBooks, we revoke available QuickBooks OAuth tokens with Intuit and delete synced QuickBooks data as described in our Privacy Policy.
Termination grace period. If your subscription ends or is terminated for non-payment, we will retain your synced QuickBooks data in a read-only state for 30 days to allow you to reactivate or export, after which it is deleted, subject to the retention rules in the Privacy Policy.
Some account, billing, audit, backup, or security records may be retained where necessary for legal, tax, security, fraud-prevention, or dispute purposes.
Our IP. MetricBooks (operated by Datachar) owns the Service, software, website, templates, documentation, design, trade names, logos, and related intellectual property. No rights are granted to you except as expressly set forth in these Terms.
Your data. Your QuickBooks data and business data remain yours. You grant MetricBooks the limited, worldwide, non-exclusive, royalty-free rights necessary to process your data solely to provide, secure, support, and improve the Service for you.
Outputs. You may use MetricBooks-generated reporting outputs for your internal business purposes, subject to these Terms and your plan limits.
Feedback. If you submit suggestions, ideas, or feedback about the Service, you grant MetricBooks a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use that feedback to improve the Service, without obligation or compensation to you. You waive any moral rights in such feedback to the extent permitted by law.
Each party may receive non-public information from the other party in the course of using or providing the Service ("Confidential Information"). Confidential Information includes your QuickBooks data, business records shared in support, and any non-public technical or commercial information of MetricBooks.
The receiving party will: (a) use Confidential Information only to perform under these Terms; (b) protect it with at least the same degree of care it uses for its own confidential information of similar sensitivity, and no less than a reasonable standard of care; and (c) not disclose it to third parties except to service providers under confidentiality obligations consistent with this section, or as required by law.
Confidential Information does not include information that is publicly available without breach, was lawfully known before disclosure, is independently developed, or is rightfully received from a third party without restriction.
MetricBooks depends on third-party services, including Intuit QuickBooks Online, Microsoft Power BI, Paddle, AWS, and network providers. We are not responsible for outages, API changes, authentication changes, data changes, billing processor issues, or limitations caused by those third-party services. Your use of third-party services is subject to those providers' own terms.
MetricBooks transforms and presents data from connected systems. You are responsible for reviewing reports, validating outputs, maintaining source-system accuracy, and making business decisions. MetricBooks does not provide accounting, tax, legal, investment, audit, or financial advice. Decisions based on MetricBooks outputs are your responsibility.
We work to keep MetricBooks reliable, but we do not guarantee uninterrupted or error-free operation, and no service level agreement (SLA) applies to standard plans unless we agree to one in writing. We may modify, suspend, limit, or discontinue parts of the Service when needed for maintenance, security, legal compliance, third-party provider changes, abuse prevention, or product development.
If we discontinue a material feature you actively use, we will give reasonable advance notice by email or in-product notice.
You may stop using MetricBooks at any time and cancel your subscription from the Billing page.
We may suspend or terminate your access if you:
The cure period does not apply to suspensions or terminations for: non-payment after reasonable notice, security incidents, prohibited activities under Section 5, sanctions violations, or where immediate action is required by law.
The Service is provided "as is" and "as available."
To the maximum extent permitted by applicable law, MetricBooks and Datachar disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, and error-free operation. We do not warrant that the Service will meet your specific requirements, that it will be compatible with any specific configuration, or that data syncs will be free of errors caused by Intuit, third-party providers, or your own configuration.
To the maximum extent permitted by applicable law:
These limitations do not apply to liability that cannot be excluded or limited under applicable law (such as gross negligence, willful misconduct, or fraud), or to either party's indemnification obligations under Section 16.
The limitations and exclusions in these Terms reflect the allocation of risk between the parties and form an essential basis of the bargain.
MetricBooks will defend you against any third-party claim alleging that your authorized use of the Service infringes a valid copyright, trademark, or patent of a third party, and will pay any final judgment or settlement amount approved by MetricBooks, provided that:
MetricBooks' total liability under this Section 16.1 is capped at the limitation set out in Section 15.
You will defend, indemnify, and hold MetricBooks and Datachar harmless from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your breach of these Terms, (c) your violation of law, (d) your data or your processing of data you were not authorized to connect or use, (e) your infringement of third-party rights, and (f) actions of users you authorize on your workspace.
This Section 16 states the parties' exclusive remedies for third-party IP claims.
Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including: acts of God, natural disasters, war, terrorism, civil unrest, pandemics, government action, labor disputes, internet or telecommunications failures, third-party service failures (including failures of Intuit, AWS, Paddle, or Microsoft), cyberattacks, or other events beyond reasonable control.
You may not assign or transfer these Terms or any rights under them without our prior written consent. MetricBooks may assign these Terms to an affiliate, in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law, with notice to you. Any unauthorized assignment is void.
These Terms are governed by the laws of the Dominican Republic, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be brought exclusively before the competent courts of the National District (Distrito Nacional) of Santo Domingo, Dominican Republic, and both parties consent to the exclusive jurisdiction and venue of those courts.
This Section does not prevent either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
We may update these Terms from time to time. We will post material changes on this page and notify active users by email or in-product notice at least 14 days before material changes take effect, unless changes are required sooner for legal, security, or operational reasons. Your continued use of the Service after the effective date of an updated version constitutes acceptance of the updated Terms.
